UpRow Terms and Conditions

Welcome to UpRow! These Terms and Conditions ("Terms") govern your use of the UpRow platform ("Platform"), including interactions between users, service providers, and partners. By accessing or using the Platform, you agree to these Terms. If you do not agree, please refrain from using the Platform.

1. Definitions

1.1 "Users": Individuals accessing the Platform to browse, book, or interact with service providers.

1.2 "Service Providers": Consultants, businesses, or partners offering services to Users through the Platform.

1.3 "UpRow": The Platform, operated by Settle Successful Services Ltd, facilitating connections between Users and Service Providers.

2. User Terms and Conditions

2.1 Account Creation:

Users must provide accurate and complete information when creating an account.
Users are responsible for maintaining the confidentiality of their account credentials.

2.2 Prohibited Activities:

Users may not use the Platform for illegal, harmful, or unauthorized purposes.
Users must respect the terms of Service Providers and adhere to their instructions when booking services.

2.3 Booking and Payments:

Users agree to pay for services as outlined by Service Providers at the time of booking.
Refunds or cancellations are subject to the individual Service Provider’s policies.

2.4 Feedback and Reviews:

Users may leave honest feedback but must refrain from defamatory, abusive, or malicious comments.

3. Service Provider Terms and Conditions

3.1 Account Creation and Verification:

Service Providers must provide accurate business or professional details.
UpRow reserves the right to verify and approve all Service Provider accounts before they are listed.

3.2 Service Delivery:

Service Providers agree to deliver services as advertised and ensure compliance with applicable laws and regulations.
Service Providers are responsible for communicating directly with Users regarding bookings, clarifications, or service updates.

3.3 Payment and Fees:

Service Providers agree to the Platform’s commission or subscription-based pricing structure.
Payment processing fees may apply as outlined in the Service Provider agreement.

3.4 Prohibited Activities:

Service Providers may not misrepresent their qualifications, services, or availability.
Service Providers must maintain the confidentiality of User information obtained through the Platform.

4. Data Protection and Privacy

4.1 User Data:

UpRow collects, processes, and stores personal data in compliance with applicable privacy laws, including GDPR, PIPEDA.
Personal data will only be shared with Service Providers to facilitate bookings and improve Platform functionality and service delivery.

4.2 Security:

UpRow implements reasonable security measures to protect personal data. However, Users and Service Providers acknowledge that no system is completely secure.

4.3 Consent:

By using the Platform, Users and Service Providers consent to the collection and use of their data as described in UpRow’s [Privacy Policy].

5. Limited Liability

5.1 Platform Responsibility:

UpRow acts solely as a facilitator between Users and Service Providers and is not directly responsible for the quality, legality, or delivery of services provided by Service Providers. However, we strive to ensure a secure and trustworthy Platform for all users.

5.2 No Warranty:

The Platform is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

5.3 Service Issues:

Disputes arising between Users and Service Providers must be resolved directly between the parties. While UpRow may assist with mediation at its sole discretion, it is not obligated to do so.

5.4 Limitations:

To the fullest extent permitted by law, UpRow’s liability for claims related to the use of the Platform is limited to the fees collected by UpRow from the affected User or Service Provider in the 30 days preceding the claim.

5.5 Acknowledgment:

Users and Service Providers acknowledge that interactions and transactions conducted through the Platform are at their own action and agree to release UpRow from any claims or liabilities arising from such interactions, except where gross negligence or willful misconduct by UpRow is proven.

6. Indemnity

6.1 By Users:

Users agree to indemnify and hold UpRow harmless from claims, damages, or expenses arising from their use of the Platform.

6.2 By Service Providers:

Service Providers agree to indemnify and hold UpRow harmless from claims, damages, or expenses arising from their services or breach of these Terms.

7. Intellectual Property

7.1 Ownership:

All content on the Platform, including logos, text, and software, is the property of UpRow or its licensors.
Users and Service Providers may not copy, distribute, or reproduce any part of the Platform without prior written consent.

8. Termination

8.1 By UpRow:

UpRow reserves the right to suspend or terminate accounts for violations of these Terms or other policies.

8.2 By Users or Service Providers:

Users and Service Providers may deactivate their accounts by contacting UpRow. Termination does not absolve parties of obligations incurred before termination.

9. Governing Law and Dispute Resolution

9.1 Governing Law:

These Terms are governed by the laws of Alberta, Canada.

9.2 Dispute Resolution:

Any disputes will be resolved through binding arbitration in [Insert Jurisdiction], except where prohibited by law.

10. Amendments

10.1 Changes to Terms:

UpRow reserves the right to update these Terms at any time. Users and Service Providers will be notified of significant changes.
